MoFluent
Clinic Rescue Service Agreement
Version 2026-10-19
This agreement is between MoFluent Inc. ("MoFluent", "we") and the clinic named at sign-up ("the clinic", "you"). It starts when you accept it on the sign-up page.
1. What we do
We set up and run Clinic Rescue for your clinic. Depending on what we agree for your clinic, it includes:
- a website built around your clinic and services;
- online booking connected to the practice software you already use;
- text and email reminders and confirmations;
- review requests after visits;
- follow-up messages to patients who haven't rebooked;
- an always-on front desk concierge and website chat;
- Google Business Profile and social media posting;
- Meta and Google ad management.
We aim to have the system live about two weeks after we receive your completed setup form and the access we ask for. We'll tell you if it will take longer.
2. Fees and payment
- Monthly fee: $1,497 CAD per month, plus any applicable taxes.
- Setup fee: $2,000 CAD one time. It is waived for clinics that sign up on or before December 31, 2026.
- When you're charged: your card is saved at sign-up. The first monthly fee is charged 14 days after sign-up, and then on the same day each month. If your system isn't live by then because of a delay on our side, we move your first charge to the day it goes live.
- Ad spend is not included. It is billed to you directly by Meta or Google, and we never mark it up.
- Payments are processed by Stripe. If a payment fails, we'll let you know; if it isn't resolved within 14 days, we may pause the service.
- We'll give you at least 30 days' written notice before any change to your monthly fee.
3. Term and cancelling
This is month to month. Either of us can cancel with 30 days' notice by email (to info@mofluent.com for you). You pay for the service through the end of the notice period. Fees already paid are not refunded, except where the law requires it. If you cancel before your first monthly charge, nothing more is charged.
4. What we need from you
- Accurate information in the setup form, and answers to our questions within a reasonable time.
- Access by invitation to the accounts we manage for you (for example Google Business Profile, Facebook and Instagram). We will never ask for your passwords.
- Approval of anything that goes out in your clinic's name before it is first used (message wording, website content, ads).
- You are responsible for having your patients' consent to be contacted, and for honouring their requests to stop. Every message we send includes a way to opt out, and we stop messaging anyone who opts out.
5. Patient information and privacy
Your clinic remains the custodian of your patients' personal health information under Ontario's Personal Health Information Protection Act (PHIPA). MoFluent acts as your agent and service provider for this information. We will:
- use patient information only to provide the services in this agreement, and never sell it or use it to market anything else;
- collect only what the services need (typically names, contact details and appointment dates and status, not clinical notes);
- protect it with reasonable safeguards, including encrypted connections and access limited to the people who do your work;
- tell you promptly, and within 72 hours, if we learn that your patients' information was lost, stolen or accessed without authorization;
- when the agreement ends, give you a copy of your data on request and then delete it from our systems within 60 days, except what the law requires us to keep.
We use trusted service providers to run the system (such as our CRM and messaging platform, Stripe for payments, and hosting providers). Some of them may store data outside Canada. We'll give you the current list on request.
6. Who owns what
- You own your clinic's name, logo, photos, content, domain, Google Business Profile, social media accounts and patient data.
- MoFluent owns its own templates, automations and tools. While the agreement is active, you may use them as part of the service.
- If you cancel, we'll hand over your website content and files, and help move your domain and accounts back under your control.
7. Results
We'll do the work carefully and keep improving it, but we can't promise specific results, such as a number of new patients or reviews. Any figures we've shared are estimates based on typical results, not guarantees.
8. Limits of liability
Neither of us is liable to the other for indirect or consequential losses, such as lost profits. MoFluent's total liability under this agreement is limited to the fees you paid us in the three months before the claim. This doesn't limit liability that can't be limited by law.
9. Confidentiality
Each of us keeps the other's non-public business information confidential, during this agreement and after it ends.
10. General
- This agreement is governed by the laws of Ontario and the federal laws of Canada that apply there.
- We may update this agreement with 30 days' notice by email. If you don't agree with a change, you can cancel before it takes effect.
- This agreement and anything we agree in writing for your clinic is the whole agreement between us.
